General Provisions

The openUBMC Technical Committee (TC) is the primary technical governance body for openUBMC community projects, responsible for providing technical guidance, decision-making, and oversight.

Key Responsibilities

The TC serves as the community's technical leadership organization. Its primary authorities are:

1. Holding the final authority on all technical decisions;
2. Determining the technical development vision and direction for the community;
3. Deciding on matters such as the formation, dissolution, or merger of SIGs. Resolving collaboration conflicts between SIGs, and mentoring, reviewing, and overseeing their daily operations;
4. Implementing daily development work and ensuring the high-quality release of the openUBMC community distributions;
5. Leading the establishment of proprietary open source projects and continuously building the community's technical influence.

Composition

The TC is chaired by one Chairperson, whose duties are:

1. Calling and presiding over TC meetings, and ensuring all attendees have the right to fully express their technical opinions;
2. Representing the community in promotional activities and various events;
3. The Chairperson is concurrently a TC member and possesses the same voting rights as other members.

TC members and the Chairperson are appointed by the openUBMC community and must include individuals who have made significant contributions to the community and are willing to commit continuous dedication.

Meeting and Decision Mechanism

The TC holds regular monthly meetings, or ad-hoc meetings upon the proposal of two-thirds or more of the members.

1. The Chairperson must notify all members via the mailing list at least five calendar days before the meeting. The notice must include the location, date, time, method, agenda, and available reference materials to allow members to prepare. Meetings are open to the public. Any community member may attend and express technical views but holds no voting rights.
2. A quorum requires two-thirds or more (inclusive) of the members to be present for the meeting to be valid.
3. All resolutions must be put to a vote during a valid meeting. Voting shall be open and recorded. A resolution passes only if it receives an affirmative vote from two-thirds or more (inclusive) of the attending members AND exceeds one-half of the entire Committee. Absent members cannot delegate voting authority.
